By using this site (the “Site”), you (“you” or the “Member”) unconditionally agree to follow and be bound by the Terms and Conditions of Use that we (“Vital C Health Products, Inc.” or “Vital C”) have provided. If you do not agree to the outlined terms and conditions, please refrain from using the Site or downloading any materials from the Site.

Before ordering any products from the Site, kindly read the Contents of our Terms and Conditions. We strongly recommend that you review our Terms of Use and Privacy Policy once in a while to keep you updated to any such changes. If it is necessary for Vital C to make changes to our Terms and Conditions of Use and Privacy Policy and you continue to use our Site, you are bounded by the contents expressed herein.

General

"Vital C" provides a 24/7 online Site, consisting of account information services, content and shopping capabilities provided to the Members of Vital C. By using this Site, the Member agrees to comply with all of the terms and conditions hereof.  

• The Member must be at least 18 years old to conduct any transactions in this Site. The Member shall be responsible for protecting the confidentiality of his/her password.
• The Member acknowledges that, although the Internet is often a secure environment, sometimes there are interruptions in service or events that are beyond the control of Vital C, and Vital C shall not be responsible for any data lost while transmitting information on the Internet. While it is Vital C’s objective to make the Site accessible 24 hours per day, 7 days per week, the Site may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of the control of Vital C, access to the Site may be interrupted, suspended or terminated from time to time.
• Vital C shall have the right at any time to change or discontinue any aspect or feature of Vital C, including, but not limited to, content, hours of availability and equipment needed for access or use. Further, Vital C may discontinue disseminating any portion of information or category of information, may change or eliminate any transmission method and may change transmission speeds or other signal characteristics.
• Vital C reserves the right at all times to discontinue or modify any of our Terms of Use and/or our Privacy Policy as we deem necessary or desirable without prior notification to you. Such changes may include, among other things, the adding of certain fees or charges. We suggest to you, therefore, that you re-read this important notice containing our Terms of Use and Privacy Policy from time to time in order that you stay informed as to any such changes. If we make changes to our Terms of Use and Privacy Policy and you continue to use our Site, you are impliedly agreeing to the Terms of Use and Privacy Policy expressed herein. Any such deletions or modifications shall be effective immediately upon Vital C’s posting thereof. Any use of Vital C by the Member after such notice shall be deemed to constitute acceptance by the Member of such modifications.

Equipment and Internet Connection

The Member shall be responsible for obtaining and maintaining all telephone, computer hardware, Internet connection and other equipments needed for access to and use of this Site and all charges related thereto. Vital C shall not be liable for any damages to the Member’s equipment resulting from the use of this Site.

Member Usage

This Site operated by Vital C is private property. All interactions on this Site must comply with these Terms of Use. Although we welcome and encourage Member interaction on our Site, we do insist and require that all the Members restrict any and all activity in connection with the use of this Site to that which involves lawful purposes only. The Member shall not post or transmit through this Site any material which violates or infringes in any way upon the rights of others, or any material which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without Vital C’s express prior, written approval, contains advertising or any solicitation with respect to products or services. Any conduct by the Member that in Vital C’s exclusive discretion restricts or inhibits any other Member from using or enjoying this Site is strictly prohibited. The Member shall not use this Site to advertise or perform any commercial, religious, political or non-commercial solicitation, including, but not limited to, the solicitation of users of this Site to become users of other on- or offline services directly or indirectly competitive or potentially competitive with Vital C.

Copyright and Trademarks

Everything located on or in this Site is the exclusive property of Vital C, Inc. or used with express permission of the copyright and/or trademark owner. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE WITHOUT THE EXPRESS WRITTEN PERMISSION OF VITAL C HEALTH PRODUCTS, INC. IS STRICTLY PROHIBITED. Any violation of this policy may result in a copyright, trademark or other intellectual property right infringement that may subject the Member to civil and / or criminal penalties.

This Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music, sound, and the entire contents of Vital C protected by copyright as a collective work under the Philippines copyright laws. Vital C owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. The Member may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. The Member may download / print / save copyrighted material for the Member’s personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Vital C and the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. The Member acknowledges that he/she/it does not acquire any ownership rights by downloading copyrighted material. Trademarks that are located within or on the Site or a Web site otherwise owned or operated in conjunction with Vital C shall not be deemed to be in the public domain but rather the exclusive property of Vital C, unless such site is under license from the Trademark owner thereof in which case such license is for the exclusive benefit and use of Vital C, unless otherwise stated.

The Member shall not upload, post or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. Vital C does not have any express burden or responsibility to provide the Member with indications, markings or anything else that may aid the Member in determining whether the material in question is copyrighted or trademarked. The Member shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of this Site, The Member warrants that the owner of such material has expressly granted the Member and/or Vital C the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. The Member also permits any other Member to access, view, store or reproduce the material for the Member’s personal use. The Member hereby grants Vital C the right to edit, copy, publish and distribute any material made available on this Site by The Member.

Disclaimer of Warranty; Limitation of Liability

The member expressly agrees that use of this site is at the member’s sole risk. Neither vital c, its affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that use of the site will be uninterrupted or error free; warranties of merchantability or fitness for a particular purpose, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to this agreement. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action. The member specifically acknowledges that vital c is not liable for the defamatory, offensive or illegal conduct of other members and that the risk of injury from the foregoing rests entirely with the member. In no event shall vital c, or any person or entity involved in creating, producing or distributing this site or the contents hereof, be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential or punitive damages arising out of the use of or inability to use this site. The member hereby acknowledges that the provisions of this section shall apply to all content on this site. In addition to the terms set forth above, neither vital c, nor its affiliates, information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity of, the information contained within this site, or for any delay or interruption in the transmission thereof to the member, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including without limitation lost profits, punitive or consequential damages.

Vital c is not responsible for any content that a user, subscriber, or an unauthorized user may post on this site or any of the microsites. Any content that is posted or uploaded that is or may be deemed unsuitable can and may be taken down by vital c. Moreover, vital c reserves the right to edit, change, alter, delete and prohibit any and all content that it, vital c, deems unsuitable.

License Grant

By posting communications on or through this Site, The Member shall be deemed to have granted to Vital C a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sub licensees.

Laws and Jurisdiction

These Terms and Conditions shall be subject to, interpreted and governed by the laws enforced in the Republic of the Philippines, and any disputes relating to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of the Philippines.

Indemnification

The Member agrees to defend, indemnify and hold harmless Vital C, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of the use of this Site by The Member.

Termination

Vital C may terminate this Agreement at any time. Without limiting the foregoing, Vital C shall have the right to immediately terminate any passwords or accounts of the Member in the event of any conduct by the Member which Vital C, in its sole discretion, considers to be unacceptable, or in the event of any breach by the Member of this Agreement.

Order Acceptance and Pricing

Vital C reserves the right to refuse or cancel any order for any reason at any given time, if given sufficient purpose that the order cannot be processed. Sufficient time and information shall be provided by the Site and the Member for verification purposes including but not limited to the contact details provided in the Member’s Account, before the acceptance of the Member’s order.

Vital C is indomitable to provide the Member with the most accurate pricing information in the product listings; however, mistakes may still occur, such as cases when the price of an item is not shown correctly on the item listing. Refusal and cancellation of any order shall take place if a mispricing has occurred. If such incident does take place, Vital C has the prerogative to contact the Member for instructions or cancel the order and notify the Member of such cancellation.

All Vital C products are guaranteed to be 100% new, and of quality. These products have undergone rigorous scrutiny by Vital C. Should you feel or believe that the item you purchased is not of good quality, you may return it to us, you may return your goods within 7 days of receiving and request for the products to be replaced.

Delivery Policy:

We are still in the process of negotiating the delivery with courier. However, product purchased may be claim at our depot by choosing the pick-up option in shopping cart. Our depots are located at the following cities:

For claiming of products/items purchased kindly present the following to the cashier:

• VALID ID of purchaser and Transaction code.
• If by Representative,
  • VALID ID of Representative
  • VALID ID of Customer/Purchaser
  • Authorization Letter
  • Transaction Code

Returns Policy:

Requirements for a valid return

If for any reason you are unsatisfied with your order, you may return it as long as your item meets the following criteria:

• It is within fourteen(14) days from the purchase date.
• The item is in its ORIGINAL packaging.
• If the item came with a free promotional item, the free item must also be returned

Note: All returned items not accompanied by a completed paper copy of our return form will be automatically declined and sent back

 

How to return

Bring the package to the Vital C depot nearest your location.

In the unlikely event that you have received an expired item and 14 days have lapsed since the delivery date, please contact your nearest servicing Vital C depot directly.

 

How returns are processed

We will notify you once we have received your return. We will conduct an evaluation within five (5) business days and notify you that we are processing replacement, according to what you have indicated on the Return Form. If a return is invalid, we will notify you as well and send the item back to you.

 

Reasons for returns

When selecting the reason for return on the Return Form, please be guided by the following table:

Website error	Product does not match website specifications, description, or image, and issue is attributable to a website error/misinformation

 

Replacement of Products

The Replacement process begins after we have completed evaluating your return and sent you a notification within 3 to 15 working days.

Cancellation of Orders

The distributor has the option to cancel their orders until the products are released. Once the products or orders are released, the transaction will be deemed closed and completed.

 

PRIVACY POLICY

This Privacy policy of Vital C Health Products, Inc. ensures the safeguarding of the Member’s information that is entrusted to Vital C.

Vital C collects personal information from its Members during registration.  Vital C will not share all collected information and will only be used in accordance with this privacy statement. The information may be helpful for Vital C to give you a more improved and better service and may serve as our reference for the effectiveness of our website.

In addition, Vital C may send you promotional email about our latest product offerings and special promos which we think you may find interesting and may lead you to impulse buying. We may also get feedbacks from your e-mails and may get in touch with you through these networks.
